Terms of Service

These Terms of Service ("Terms") govern access to and use of EZBOL, including our websites, web application, mobile applications, digital Bill of Lading tools, subscription services, and related features operated by AACodeDigital LLC, a Florida limited liability company (collectively, the "Service").

By creating an account, purchasing or starting a subscription or trial, accessing the Service, or otherwise using EZBOL, you agree to these Terms. If you are using EZBOL on behalf of a company or other organization, you represent that you are authorized to bind that organization to these Terms.

1. Eligibility and Business Use

EZBOL is intended for businesses and professionals involved in vehicle transportation and related commercial activities. You must have legal capacity to enter into these Terms and must use the Service only for lawful business purposes.

2. Accounts and Access

You are responsible for providing accurate account information, maintaining the confidentiality of credentials and access codes, and promptly updating information when it changes.

Company administrators are responsible for managing company users, drivers, permissions, and access. Activity performed through an authorized company account may be treated as activity of that company.

You must notify EZBOL promptly if you believe an account, password, access code, or device has been compromised or used without authorization.

3. Acceptable Use

You agree not to use EZBOL to:

• Violate any applicable law, regulation, transportation requirement, or third-party right.
• Upload, create, transmit, or store information that is fraudulent, unlawful, defamatory, malicious, or intentionally inaccurate.
• Attempt to gain unauthorized access to accounts, systems, networks, APIs, or data.
• Interfere with, disrupt, reverse engineer, circumvent, overload, or misuse the Service or its security controls, except to the extent such restriction is prohibited by law.
• Use the Service to distribute malware, spam, unsolicited marketing communications, or other harmful content.
• Use another person's account or credentials without authorization.

4. Transportation Responsibilities

EZBOL is a software platform and does not act as a motor carrier, broker, freight forwarder, insurer, shipper, consignee, or transportation provider. AACodeDigital LLC does not take possession, custody, or control of vehicles transported by users and does not itself arrange or perform the transportation represented in user-created BOLs.

Users and their companies remain solely responsible for transportation services, vehicle inspections, loading and unloading decisions, driver qualifications, insurance, licensing, permits, regulatory compliance, rates, customer agreements, and the accuracy and legal sufficiency of transportation records.

5. Bills of Lading, Signatures, and Documents

EZBOL allows authorized users to create, modify, sign, store, generate, and share digital transportation records. The Service does not independently verify the truth, completeness, legal sufficiency, or enforceability of information entered by users.

Users are responsible for reviewing BOLs, signatures, vehicle information, pickup and delivery records, prices, addresses, and other documents before relying on or distributing them.

Electronic signatures and digital records may have legal consequences. Each user and company is responsible for determining whether EZBOL documents and signature workflows satisfy requirements applicable to its transactions and jurisdiction.

6. Customer and Company Data

You retain responsibility for information and content that you or your authorized users submit to EZBOL. You represent that you have the rights and permissions necessary to provide that information and to instruct EZBOL to process it in connection with the Service.

You grant AACodeDigital LLC the limited rights necessary to host, process, transmit, reproduce, display, and otherwise handle submitted data solely as needed to operate, secure, support, and improve the Service and comply with law.

7. Trials, Subscriptions, and Billing

EZBOL may offer free trials and paid subscription plans. Plan features, driver limits, billing periods, and prices are presented at the time of selection and may differ by plan.

Unless otherwise stated at checkout or in the applicable plan terms, paid subscriptions may renew automatically at the end of each billing period until canceled. You authorize the applicable payment provider to charge the payment method associated with your subscription for recurring fees, taxes, and other authorized charges.

You are responsible for keeping billing information current. If payment cannot be completed, access to paid functionality may be limited, suspended, or terminated in accordance with the applicable subscription status.

8. Cancellation, Downgrades, and Refunds

You may cancel a subscription through available account or billing controls. Unless otherwise stated during checkout, required by applicable law, or expressly approved by EZBOL, cancellation stops future renewal and does not automatically create a refund for amounts already paid or for unused time in a current billing period.

Downgrades may be subject to account eligibility requirements, including driver or usage limits associated with the selected plan. Changes to a subscription may take effect immediately or at the next billing period as indicated in the Service.

Any refund required by applicable law will be handled in accordance with that law. Promotional, trial, and special pricing terms may include additional conditions disclosed when offered.

9. Offline Features and Synchronization

Certain mobile workflows may support temporary offline use. Offline data may remain on a device until synchronization occurs. Users are responsible for reconnecting devices, allowing synchronization to complete, reviewing synchronized information, and resolving any conflicts or incomplete actions that may occur because of connectivity, device, or user conditions. Offline functionality is intended to support field operations but does not guarantee that every feature will be available without an internet connection.

10. Third-Party Services

EZBOL may depend on or integrate with third-party services for functions such as payments, cloud hosting, storage, maps, VIN decoding, notifications, SMS, analytics, and mobile platform services. Third-party services are governed by their own terms and policies, and their availability may affect certain EZBOL features.

11. Intellectual Property

EZBOL, its software, designs, interfaces, branding, logos, documentation, and related intellectual property are owned by AACodeDigital LLC or its licensors and are protected by applicable intellectual property laws. These Terms do not transfer ownership of EZBOL or any related intellectual property to you.

12. Feedback

If you voluntarily provide ideas, suggestions, or feedback about EZBOL, you grant AACodeDigital LLC permission to use that feedback without restriction or obligation to you, provided we do not publicly identify you as the source without permission.

13. Service Availability and Changes

We work to provide a reliable service, but EZBOL may occasionally be unavailable because of maintenance, updates, network conditions, third-party outages, security events, or circumstances beyond our control. We may modify, improve, replace, add, or discontinue features when reasonably necessary.

14. Suspension and Termination

We may suspend or terminate access when reasonably necessary to address nonpayment, security risks, suspected fraud, legal requirements, abuse, material violation of these Terms, or conduct that threatens the Service or other users. You may stop using EZBOL at any time, subject to applicable subscription obligations.

15. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EZBOL IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. AACODEDIGITAL LLC DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SUITABLE FOR EVERY LEGAL OR TRANSPORTATION REQUIREMENT.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AACODEDIGITAL LLC AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS, LOST DATA, LOSS OF GOODWILL, OR TRANSPORTATION-RELATED LOSSES ARISING FROM OR RELATED TO EZBOL.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AACODEDIGITAL LLC'S TOTAL LIABILITY FOR CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS PAID BY THE APPLICABLE CUSTOMER TO EZBOL FOR THE SERVICE DURING THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

17. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless AACodeDigital LLC and its owners, officers, employees, contractors, and agents from claims, losses, liabilities, damages, and reasonable expenses arising from your transportation operations, your content or data, your violation of law, your violation of these Terms, or your infringement of another party's rights.

18. Privacy

Our Privacy Policy explains how information is collected, used, shared, retained, and protected in connection with EZBOL, including available privacy and account-deletion choices. By using the Service, you acknowledge the practices described in that policy. Privacy Policy.

19. Governing Law

These Terms and any dispute arising out of or relating to these Terms or the Service are governed by the laws of the State of Florida and applicable federal laws of the United States, without regard to Florida's conflict-of-law principles, except to the extent applicable law requires otherwise.

20. Severability and Waiver

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law. A failure to enforce a provision is not a waiver of the right to enforce it later.

21. Changes to These Terms

We may update these Terms as EZBOL evolves or as legal, operational, or business requirements change. Updated Terms will be posted with a revised effective date. Continued use of EZBOL after updated Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law.
